These Terms of Service ("Terms") govern your use of the OmniClouds website and the managed network services provided by OmniClouds ("OmniClouds", "we", "us"), including SD-WAN, Network as a Service (NaaS), managed security, multi-cloud connectivity and CORTEX AI Agents (the "Services"). By using the website or the Services you agree to these Terms.
1. Agreements that apply
The Services are provided under a signed order form or master services agreement together with any service level agreement (SLA) and statement of work (together, the "Agreement"). If the Agreement conflicts with these Terms, the Agreement wins.
2. The Services
Depending on your order, the Services may include design, supply, installation and 24/7 management of SD-WAN edge devices, routers, firewalls, switches and Wi-Fi; arranging underlay connectivity (internet, MPLS, 4G/5G, fibre) through carrier partners; centralised orchestration and policy management; security services; monitoring and reporting; and AI-driven operations through CORTEX AI Agents.
We may improve or change features from time to time, provided the change does not materially reduce the Services you have ordered.
3. Your responsibilities
- Give us accurate site, contact and technical information and timely access to your premises for installation, maintenance and replacement.
- Provide suitable power, rack space, cooling and environmental conditions for equipment at your sites.
- Keep administrator credentials for any portal we give you confidential and tell us promptly of any unauthorised access.
- Make sure you have the rights and any notices or consents needed for us to process your network and user data on your behalf.
- Pay invoices by the due date stated in the Agreement.
4. Acceptable use
You must not use the Services or the website to:
- break any law or regulation, including telecommunications, export control and sanctions laws;
- send spam, malware or attacks, or attempt to gain unauthorised access to any system or network;
- interfere with or disrupt the Services, our infrastructure or other customers;
- infringe the intellectual property or privacy rights of others;
- resell or provide the Services to third parties unless the Agreement allows it.
5. Equipment
Unless the Agreement says the equipment is sold to you, devices we install (customer premises equipment, or CPE) remain the property of OmniClouds or our partners. You must take reasonable care of it, not tamper with or move it without our approval, and return it at the end of the Service. You are responsible for loss or damage beyond normal wear and tear while it is at your premises.
6. Service levels and maintenance
Availability, response and restoration targets are those set in your SLA, and service credits under the SLA are your sole remedy for missing them. Figures shown on this website (for example uptime or savings percentages) are typical targets, not guarantees. Planned maintenance is announced in advance; emergency maintenance may be carried out at short notice to protect the network.
We are not responsible for outages caused by underlay circuits outside our control, your own equipment or changes, power failures at your sites, or events beyond our reasonable control.
7. Third-party services
Some Services rely on carriers and technology vendors. Their availability may be subject to their own terms, which we will pass on to you where relevant. We manage these providers on your behalf but cannot guarantee services we do not control.
8. Fees and payment
Fees, billing frequency and payment terms are set in the Agreement. Fees are exclusive of VAT and other taxes, which are added as required. We may suspend the Services after written notice if undisputed invoices remain unpaid past the due date.
9. Data and confidentiality
We handle personal information as described in our Privacy Policy and in any data processing agreement. Each party will keep the other’s confidential information secret and use it only to perform the Agreement. You own your data; we own our platform, software, tools and know-how, including CORTEX AI Agents and any improvements to them.
10. Website content
The website and its content, including the ROI calculator, are for general information only. Calculator results are estimates for illustration and are not an offer or a guarantee of savings. Partner and client names and logos belong to their owners.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability under the Agreement in any 12-month period is limited to the fees you paid for the affected Service in that period. Nothing in these Terms limits liability that cannot be limited by law.
12. Term, suspension and termination
The Services run for the term in the Agreement. We may suspend the Services immediately if needed to prevent a security threat, comply with law, or stop a breach of the acceptable use rules. Either party may terminate for material breach not fixed within 30 days of written notice. When the Services end, you will return our equipment and we will return or delete your data as set out in the Agreement.
13. Governing law
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai have exclusive jurisdiction, unless the Agreement states otherwise.
14. Changes
We may update these Terms. The new version applies from the date posted here; changes to an existing Agreement require both parties’ written agreement.
